2020 NOMINATING & ELECTION PROCEDURES FOR THE BOARD OF DIRECTORS OF USA JUDO

NOMINATIONS

Requests for nominations will be sent by September 24, 2020, to current members of USA Judo consistent with the Bylaws of USA Judo and these Nominating Procedures. The nominating period will close on October 9, 2020.

  • Nominating Criteria:
    1. Group A and Coach Directors may be nominated only by members in good standing of the respective groups.

    2. At-Large and Independent directors may be nominated by any member in good standing.

    3. The Athlete Directors are to be nominated by Elite Athletes, defined in Article 11 of the USA Judo Bylaws as those who have represented the United States as athletes in the Olympic or Paralympic Games, the Pan American or Para Pan Am Games, World Championships or at an Operation Gold event (or the current USOC-equivalent designated for that year) in the sport of Judo within the ten (10) year period prior to November 9, 2020; or were listed on the USA Judo Senior National Roster in 2019 or 2020. The Athlete Director Nominees must also submit ten signatures of support from Elite Athletes by October 9, 2020.

  • Qualifications:
    1. Each director of the Board of Directors must be a citizen of the United States and 18 years of age or older. A director need not be a resident of Colorado or Texas.

    2. A director will (a) have high personal and professional values, judgment and integrity, (b) possess the understanding of athletic competition and the Olympic ideals, (c) have diverse experience in the key business, financial, and other challenges that face USA Judo and, (d) be effective, in conjunction with the other members of the Board, and collectively serving the long-term interest of USA Judo. Directors shall have a high level of experience and capability in Board oversight, responsibilities, including, to the extent reasonably possible, in the areas of finance, marketing, fund raising, audit, management, communications, and sport.

    3. Directors shall inform the nominating committee of any changes in their employment responsibilities or other constraints on their time in order for the Nominating Committee to determine whether it is appropriate to nominate a Board director for continuing Board service.

    4. The Athlete Director must be an Elite Athlete, defined in Article 11 of the USA Judo Bylaws as one who has represented the United States as athletes in the Olympic or Paralympic Games, the Pan American or Para Pan Am Games, World Championships or at an Operation Gold event (or the current USOC-equivalent designated for that year) in the sport of Judo within the ten (10) year period prior to November 9, 2020; or was listed on the USA Judo Senior National Roster in 2019 or 2020.

    5. As set out in Bylaws Section 6.6, the Independent Director will have no material relationship with USA Judo, either directly or through an organization with a material relationship with USA Judo for at least the preceding two years, except for service as an Independent Director. An Independent Director may run for a second term, as otherwise provided in the Bylaws.

    6. At-Large and Group A Directors must be current members of USA Judo.

    7. The Coaches Director must be a current Coaches Member of USA Judo (as defined in Section 5.1.e. of the USA Judo Bylaws).

    8. No individual may serve simultaneously as an officer or director of USA Judo and as an officer, or director of an organization holding membership in USA Judo, or as an officer or director of another amateur sports organization recognized by the USOC as a national governing body.

  • Nominations received will be reviewed by the Nominating Committee and the Nominating Committee will present at least three qualified nominees (or if there are fewer than three qualified nominees, the names of all qualified nominees) to be elected for each position, except for Athlete Nominees. All eligible Athlete Nominees, regardless of the number, will be presented to the Athletes for election. USA Judo will post the names of the Athlete, Coaches, At-Large and Group A Nominees on the USA Judo website by October 30, 2020.

 

2020 ELECTION PROCEDURES FOR THE BOARD OF DIRECTORS OF USA JUDO

Those to be elected are:

General Voting Procedure

USA Judo will send a notice at least 45 days before the election to all qualified members of the impending election asking them to declare in writing in which category they are intending to vote.

Eligible members must submit a voter registration by October 16, 2020, declaring a voting category (a member may declare to vote in only one category).

Group A Members must name their voting representative to USA Judo by October 9, 2020. An individual may belong to more than 1 of the membership categories referred to in Section 5.1. Qualified members may vote in both a 5.1 individual category (athlete, coach, referee) as well as the representative for the given organizational category (Group A, Group B/C) when multiple categories are simultaneously up for vote during USA Judo elections.

The names of Coaches, Athletes and Group A representatives registered to vote will be posted on the USA Judo Website by October 30, 2020.

All voting will be done electronically over the internet through a secure third party vendor. There will be no proxy voting. For each open position, the person receiving the greatest number of votes (whether a majority or not) will be declared elected. Please see the Election Balloting Process Advisory Memo for further details.

In the event of a tie amongst candidates in any single category, a run-off election amongst the tied candidates in those categories will be held beginning December 1, 2020 and ending at midnight, Pacific Standard Time, December 8, 2020. The same ballot process used in the first round will be followed, limited to those candidates who tied. If a run-off election again results in yet another tie, the election will be settled by a blind draw from amongst the tied candidate names, conducted by the Independent member of the Nominating Committee.

Voting Criteria

  1. Athletes: The Athlete Director will be elected through electronic means provided by a third party vendor between the dates of November 9, 2020 and November 16, 2020, by USA Judo Elite Athletes, defined in Article 11 of the USA Judo Bylaws as those who have represented the United States as athletes in the Olympic or Paralympic Games, the Pan American or Para Pan Am Games, World Championships or at an Operation Gold event (or the current USOC-equivalent designated for that year) in the sport of Judo within the ten (10) year period prior to November 9, 2020; or were listed on the USA Judo Senior National Roster in 2019 or 2020. Each USA Judo Elite Athlete shall have 1 vote.
  2. Group A: The Group A Organizational Director will be elected through electronic means provided by a third party vendor between the dates of November 9, 2020 and November 16, 2020 by representatives named by each USA Judo Group A Member organization in good standing. Each named USA Judo Group A Member representative shall have 1 vote.
  3. Coaches: The Coaches Director will be elected through electronic means provided by a third party vendor between the dates of November 9, 2020 and November 16, 2020 by current Coaches Members of USA Judo (as defined in Section 5.1.d. of the USA Judo Bylaws). Each USA Judo Coach Member in good standing shall have 1 vote.
  4. At-Large Director: The At-Large Director will be elected by the current Board of Directors no later than November 20, 2020, from amongst the qualified nominees presented by the Nominating Committee.
  5. Independent Director: The Independent Director will be selected by the Nominating Committee no later than October 28, 2020, from amongst qualified nominees.
